Definitions

• Organization: The company subscribing to SkillArca
• Authorized Users: Employees or members authorized by the Organization
• Service: The SkillArca mentorship platform, including all features and tools

Eligibility

SkillArca is intended for business and professional use only. Users must be at least 18 years old.

Organizations are responsible for ensuring authorized users comply with these Terms.

Account Registration

Organizations must:

• Provide accurate information
• Maintain updated billing details
• Ensure authorized access only

You are responsible for safeguarding login credentials.

Subscription & Billing

Subscription Model

SkillArca operates on an annual subscription model unless otherwise agreed in writing.

Fees

Subscription fees are based on:

• Number of licensed users
• Selected plan tier

All fees are exclusive of applicable taxes (including GST).

Payment

Payment must be made:

• In advance for the subscription period
• Through approved payment methods

Failure to pay may result in suspension.

Free Plan

The Free Plan:

• Is limited to 2 users
• Has restricted features and usage limits
• May be modified or discontinued at any time

SkillArca reserves the right to restrict abuse of free usage.

Acceptable Use

Users agree NOT to:

• Misuse the platform
• Attempt unauthorized access
• Distribute harmful content
• Violate applicable laws
• Use the Service for illegal, abusive, or fraudulent purposes

SkillArca reserves the right to suspend accounts for violations.

Data Ownership

• The Organization retains ownership of its data
• SkillArca acts as a data processor for organizational data
• SkillArca may use anonymized data for service improvement

Intellectual Property

All platform components, including:

• Software
• Code
• Branding
• Design
• Algorithms

Are the exclusive property of SkillArca. No license is granted beyond authorized platform use.

Confidentiality

Both parties agree to protect confidential information shared during the use of the Service.

Confidential information shall not be disclosed without consent unless required by law.

Service Availability

SkillArca strives to maintain high availability but does not guarantee uninterrupted service.

We may:

• Perform maintenance
• Update features
• Modify functionality

SkillArca may update or modify the Service to improve performance, security, or features. Where changes materially impact customers, reasonable notice will be provided.

Limitation of Liability

To the maximum extent permitted by law:

SkillArca shall not be liable for:

• Indirect damages
• Loss of profits
• Loss of business
• Data loss beyond reasonable control

Total liability shall not exceed the amount paid by the Organization in the preceding 12 months.

Indemnification

The Organization agrees to indemnify and hold SkillArca harmless from claims arising from:

• Misuse of the Service
• Violation of these Terms
• Violation of applicable laws

Termination

SkillArca may suspend or terminate access if:

• Fees are unpaid
• Terms are violated
• Fraudulent activity is detected

No early termination refunds

Access continues until subscription end

Data export rights after termination

Upon termination, Organizations may request data export within 30 days. After this period, data may be permanently deleted in accordance with our Privacy Policy.

Refund Policy

Unless otherwise agreed:

• Annual subscriptions are non-refundable
• No refunds for partial usage
• Exceptions may be granted at SkillArca's sole discretion
• No refunds will be provided for unused subscription periods

Governing Law

These Terms shall be governed by the laws of the Republic of India.

Force Majeure

SkillArca shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or third-party service disruptions.
